Platform Terms of Use

1. Introduction and Acceptance

Welcome to Faadio, operated by Unity Logistics Limited, a Limited Liability Company duly registered under the relevant Laws of the Federal Republic of Nigeria (hereinafter referred to as “the Company”, “we”, “us”, “our”).

These Platform Terms of Use (“Terms”) govern your access to and use of our website, mobile application, and related services (collectively “the Platform”).

By accessing or using the Platform, you agree to be bound by these Terms and any supplemental policies (e.g., Privacy Policy, Sender Terms, and Courier Terms). If you do not agree, do not use the Platform.

2. Platform Description and Legal Role

The Platform is a digital marketplace that connects Senders who require delivery of items with independent Couriers who perform the delivery.

The Company does not own or operate courier vehicles, and does not directly provide delivery services. All delivery services are performed by independent couriers who have completed verification and accepted the Courier Agreement.

The Company acts as a technology intermediary and, where applicable, as a payment collection agent for transactions concluded through the Platform.

3. Account Registration and Verification

To access most Platform features, you must create an account and complete our verification process. You agree to provide true, accurate, and complete information and to maintain it up to date.

We may suspend or terminate accounts that fail verification or appear fraudulent.

4. User Responsibilities

All users must use the Platform lawfully and in good faith. You agree not to:

  • Use the Platform for illegal, fraudulent, or harmful purposes;
  • Circumvent payment processes or misrepresent your identity;
  • Post, upload, or transmit unlawful content;
  • Interfere with Platform functionality or attempt unauthorized access;
  • Engage in conduct that could harm other users or the Company.

Breach of this clause may result in suspension or permanent deactivation of your account, and a formal report to the appropriate law enforcement agency (where the need arises).

5. Payments and Escrow Handling

  1. All payments between senders and couriers are processed through the Platform’s payment system and authorized financial partners.
  2. The Platform may hold payments in escrow pending confirmation of delivery.
  3. The Company is not a deposit-taking institution and does not hold funds for investment purposes.
  4. Refunds, cancellations, and payment disputes are handled in accordance with the Sender and Courier Agreements.

6. Intellectual Property Rights

The Platform and all related content (software, trademarks, logos, designs, databases, and documentation) are owned by or licensed to the Company.

You are granted a limited, non-exclusive, non-transferable right to use the Platform solely for its intended purpose.

You shall not reproduce, modify, distribute, or reverse-engineer any part of the Platform without written permission from the Company.

7. Content Submitted by Users

You may submit content (text, feedback, reviews) through the Platform. You grant the Company a worldwide, royalty-free, perpetual license to use, reproduce, and display such content for operational and marketing purposes. You represent that such content does not infringe any third-party rights or violate any law.

8. Privacy and Data Protection

We collect and process personal data in accordance with the NDPA 2023 and our Privacy Policy available on the Platform.

By using the Platform, you consent to the collection, use, and storage of your data for identity verification, delivery management, payment processing, and regulatory compliance.

Users have the right to access, correct, or request deletion of their data by contacting mydata@faadio.com.

9. Insurance and Risk Allocation

The Platform maintains general goods-in-transit insurance but does not guarantee full reimbursement for every loss. Users (senders and couriers) are responsible for obtaining additional insurance as appropriate.

The Company shall not be liable for any damage, loss, or delay except where such damage, loss, or delay is caused by its wilful misconduct or gross negligence.

10. Limitation of Liability

To the fullest extent permitted by the relevant Laws of the Federal Republic of Nigeria, the Company shall not be liable for:

  • Indirect, incidental, special, or consequential damages;
  • Lost profits or business opportunities; or
  • Loss or corruption of data.

In all cases, the Company’s total liability to any user shall not exceed the total fees paid by that user in the transaction that gave rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless the Company, its officers, and employees from any claims, losses, or liabilities arising from:

  • Your breach of these Terms;
  • Your violation of applicable law; or
  • Any harm caused to another user through your use of the Platform.

12. Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be submitted to the Company’s internal complaints unit. If not resolved within fourteen (14) days, the dispute shall be referred to mediation under the Lagos Multi-Door Courthouse.

Failing settlement, the dispute shall be resolved by binding arbitration in Lagos, Nigeria, before one arbitrator appointed by mutual agreement under the Arbitration and Mediation Act 2023.

The language of arbitration shall be English. The cost of proceedings shall be borne by both parties involved.

13. Termination and Suspension

The Company may suspend or terminate your access to the Platform at any time if:

  • You breach these Terms or applicable law;
  • Fraudulent activity is suspected; or
  • Regulatory compliance requires it.

Upon termination, your account will be deactivated and any pending payments processed in accordance with the relevant Sender or Courier Terms.

14. Updates to These Terms

The Company may modify these Terms periodically to reflect changes in law or operational policy.
Updated Terms will be posted on the Platform and take effect upon publication. Continued use constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Subject to the arbitration clause above, the courts of Lagos State shall have jurisdiction over any residual disputes.
